By accessing the Platform, you confirm that you are at least 18 years old, have the legal capacity to enter into binding contracts, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Venture Bridge is an online marketplace that facilitates connections between buyers and sellers of businesses across Africa. The Platform allows sellers to list businesses for sale and enables prospective buyers to browse listings and submit inquiries. Venture Bridge acts as an intermediary and advisory service; we are not a party to any business acquisition transaction.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice or liability.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Submit false, misleading, or inaccurate information, including in business listings or inquiries.
• Attempt to bypass or circumvent the Platform by contacting sellers or buyers directly without our involvement.
• Scrape, crawl, or otherwise extract data from the Platform without our prior written consent.
• Transmit spam, unsolicited communications, or engage in any form of marketing to other users without consent.
• Attempt to gain unauthorized access to any part of the Platform or its underlying systems.
• Engage in any conduct that disrupts, damages, or impairs the Platform or other users' access to it.
• Use the Platform to facilitate money laundering, fraud, or any other financial crime.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

All content on the Platform, including text, graphics, logos, images, and software, is the property of Venture Bridge or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

By submitting content to the Platform (including business listings), you grant Venture Bridge a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content for the purpose of operating and promoting the Platform.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Venture Bridge does not warrant that the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform or the server that makes it available are free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information on the Platform.

Business acquisitions involve significant financial risk. Nothing on the Platform constitutes financial, legal, or investment advice. You should consult qualified professionals before making any acquisition decision.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VENTURE BRIDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $100.

You agree to indemnify, defend, and hold harmless Venture Bridge and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration in Dar es Salaam, Tanzania, or such other location as we may agree.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect confidential information or intellectual property rights.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
